Confidentiality Agreements—It's the Tone and the Details that Matter

Frequently, the confidentiality agreement marks the first opportunity for negotiated interaction in an M&A process. While these agreements fit into standard conventions, the approach to their negotiation can set the tone for the rest of the M&A transaction.
