Nixon Peabody provides clients a complete range of real estate acquisition and disposition services for all types of commercial real estate. We draft, review, and negotiate purchase and sale agreements; conduct due diligence; manage financing associated with acquisition and disposition, including acquisition financing, pay offs, assumption of existing debt, and defeasance; and handle the proceedings required for closing. We also provide appropriate legal counsel and services for buyers who finance their transactions.
Our due diligence work includes evaluating the property title, arranging and negotiating title insurance, correcting title defects, reviewing property surveys, analyzing the adequacy of existing easements and negotiating new ones, checking zoning and land-use law compliance and permitting requirements, evaluating environmental site assessments, and reviewing leases.
Working in collaboration with our tax practitioners, we also structure, negotiate, and document tax-deferred (Section 1031) property exchanges.
