Bob Thompson is a member of our Global Business and Transactions practice and Private Equity practice and specializes in the field of taxation. He represents both sellers and buyers in strategic and financial mergers and acquisitions, as well as investment funds.
What do you focus on?
Today, I focus in three main areas, leveraging more than 30 years of experience in the fields of private equity and mergers and acquisitions and my participation in hundreds of deals, from all sides of the deals, to help clients navigate through the complexities and matrices of complex business transactions, primarily from a taxation perspective.
Sell-Side Mergers and Acquisitions
I have represented public companies, private equity funds and entrepreneurs in the sales of their businesses, including sales of pass-through entities, such as LLCs and S corporations, in both taxable and tax-free transactions. Recently, I represented a number of private companies on sales to both private equity funds and strategic buyers. Some of the companies were privately owned solely by the founders and/or their families and others were backed by venture capital.
I have represented public companies and private strategic buyers from a tax perspective in the acquisition of private companies. Recently, I helped buyers in three substantial strategic acquisitions.
I have worked with private equity funds for over 30 years, with a specific focus on their acquisitions and dispositions of portfolio companies.
What do you see on the horizon?
I have been following the changes in tax law, including changes most recently made by the latest tax act, and trends in deal terms and structures for our clients.
