My focus
Mergers and Acquisitions & Private Equity
I represent private equity firms, strategics, and founders in primarily mid-market mergers and acquisitions spanning across a broad range of industries, including technology, media and entertainment, logistics, insurance, and fashion. In these transactions, I strive to identify the salient deal points for my clients and to develop creative approaches that protect the interests of my clients while accounting for the concerns of the counter-parties.
General Corporate
I represent companies with no, or leanly staffed, legal departments in their commercial agreements and general corporate matters. When working with these companies, I make it a priority to understand the broader context of the industry in which they operate and their business goals, so I can better understand their risk profile and the pressure points in their agreements.
Transactional Franchise
I represent motor vehicle manufacturers and distributors in their transactional franchise matters, including dealership buy-sells, exercises of ROFRs, dealer appointments and terminations, facility improvement agreements, satellite dealership locations, and dealer agreements.
Looking ahead
I anticipate an increasingly challenging business and deal environment and the need for businesses and dealmakers to be agile and creative in closing transactions and generating returns.
