/Representative experience
- Constellation Brands: Represented a leading international producer and marketer of beer, wine, and spirits in numerous strategic corporate transactions, including the sale of more than 30 brands and related assets to E. & J. Gallo Winery for a total of approximately $810 million
- Merck KGaA: Advised the German science and technology company and its subsidiaries in multiple transactions, including the acquisitions of FloDesign Sonics, Inc. and Intermolecular, Inc.
- Obagi: Represented the global skin care company in its transaction with Waldencast Acquisition Corp., a special-purpose acquisition company (SPAC), for approximately $1.2 billion
- Lakes Region General Healthcare: Navigated the client’s Chapter 11 bankruptcy and sale of all assets to Concord Hospital—transactions that kept local, affordable, quality healthcare available to residents of the Lakes and Three Rivers regions of New Hampshire. The transaction marked the culmination of a multiyear effort to preserve quality healthcare in an underserved area.
- Xerox: Represented the printing technology company in the closing of an $670 million securitization
- A Fortune 500 corporation: Advised client in a coordinated Multistate Tax Commission audit for sixteen states

Macro uncertainty slowed M+A activity in late 2022, and variables such as inflation, rising interest rates, and a possible recession still loom. Still, our outlook remains positive. We expect activity to increase in 2023, particularly in the lower-middle market.
