Samantha E. Lopes is an associate in Nixon Peabody’s Corporate Transactions practice group and a member of the Franchise & Distribution team. Samantha represents franchisors across numerous industries and general corporate clients on mergers and acquisitions, joint ventures, strategic alliances, and federal securities laws, as well as licensing, distribution, and franchise matters.
I represent a variety of franchise systems on compliance matters, ranging from emerging brands developing their franchise programs to well-established concepts with more than 1000 units. I work with franchisors to prepare and update franchise agreements and disclosure documents, obtain and manage franchise registrations in the United States, and provide guidance regarding compliance with state, federal, and international franchise laws. In addition to franchise-related matters, I regularly provide guidance regarding a variety of general corporate matters, including contract negotiation and drafting, enterprise risk management, regulatory compliance, corporate governance, mergers and acquisitions, and compliance with federal securities laws and SEC reporting and disclosure issues.
I see more businesses exploring the franchise model and international jurisdictions establishing more oversight and regulations over franchise systems.
