Introduction
Todd Tidgewell represents private equity funds, their limited partners, and their portfolio companies.
My focus
I focus on private equity transactions, including the formation and financing of business enterprises, mergers and acquisitions, capital financing, and private equity fund formation.
I am corporate counsel to a number of emerging technology companies and privately held businesses and advise private equity, venture capital, and angel investors in connection with their portfolio investments.
I am a regular panelist and frequent speaker at events focused on M&A, venture capital, and emerging technology, and have written on the subject of deal structuring and private finance for several publications. I served as a member of the drafting committee of the National Venture Capital Association’s Standard Forms Project, which released its first set of industry-standard venture capital deal documents in 2004.
I am a member of the Board of Directors of the Albany Med Health System, the Board of Directors of the Legal Aid Society of Northeastern New York and an active member of the Upstate Capital Association of New York.
Looking ahead
Macro uncertainty slowed M&A activity in late 2022, and variables such as inflation, rising interest rates, and a possible recession still loom. Still, our outlook remains positive. We expect activity to increase in 2023, particularly in the lower-middle market.
