Our venture capital team is highly responsive and well-positioned to act quickly. We believe in building trust and alignment between investor and entrepreneur to ensure a successful transaction and a strong foundation for future growth.  We understand our clients’ businesses, strategic objectives, and organizational constraints, and efficiently orchestrate all aspects of venture capital law, from early stage and growth capital to corporate venture capital (CVC) and international ventures. We represent venture capital and private equity firms in the formation of their funds, investments in portfolio companies, and liquidity events.

/Representative experience

• Companyon Ventures: Represented a Boston-based venture capital firm leading an expansion round in Lexop Solutions Inc., a Canadian provider of digital collections software
• Schooner Private Equity LLC: Represented a growth capital investment firm on its investment in Breezeway Homes, Inc., an online property management company, as the lead investor for a $4 million Series A preferred stock offering by Breezeway
• Cedars-Sinai Medical Center: Represented a healthcare organization with its investment in Prometheus Biosciences, Inc., biopharmaceutical company that specializes in the research and development of therapies for gastrointestinal disease, as part of a $130 million equity financing 
• Merck KGaA: Represented the company’s venture capital arm in negotiating new Series A-2 investors and acquiring shares of a pharmaceutical company 
• Battery Ventures: Represented a global technology-focused firm, in its investment in Creisoft (DBA Obie), a cloud-based software platform that connects commercial real estate brokers and investors
• Breakthrough Energy Ventures LLC: Represented a disruptive innovation venture fund focusing on cleantech and energy, with several investments
