Introduction
Michael Schnipper represents clients in all types of corporate transactions including mergers and acquisitions, private equity, venture capital and joint ventures. He has a depth of experience in the healthcare, life sciences and technology industries.
My focus
Mergers and Acquisitions
I represent both buyers and sellers in the purchase and sale of businesses in a wide range of industries including health services, life sciences, food and beverage and technology. Most recently, I worked with a diverse team of Nixon Peabody attorneys in the representation of a Connecticut hospital in its acquisition of a Rhode Island hospital system.
Hospital/Physician Integration
I work with many New York-based hospitals and private practices in their integration. These transactions involve complex legal and business issues as the parties attempt to adapt to changes in healthcare regulations and economics.
Private Equity
I handle all phases of a private equity firm’s investment in a portfolio company including add-on acquisitions and exit transactions. Most recently, my focus has honed in on investments in healthcare management companies, which requires a deep understanding of the healthcare laws and regulations that place restrictions on certain PE investments.
Representative experience
- BrookBeam Dental in the formation of a Hudson Valley, New York–based DSO and continue to represent BrookBeam as general outside counsel, including add-on acquisitions.
- MidOcean Partners in its recapitalization of Western Mass Endo and affiliated practices. This recapitalization included the formation of Affinity Dental Management. My team continues to represent Affinity Dental Management as general outside counsel, including in add-on acquisitions, as well as health care regulatory, labor and employment, corporate, tax and finance matters.
- Health care research and advisory firm in the sale of substantially all of its assets to the health care consulting arm of an AmLaw 100 law firm
- Leading single-specialty anesthesia management company in various mergers and acquisitions.
- Operator of an Article 28 ambulatory surgery center in New York, in connection with a joint venture arrangement with a private equity backed management services organization.
- New York-based nonprofit dialysis provider in various mergers, acquisitions and joint ventures to further its presence throughout the State.
- Urgent care joint venture between a New York major hospital and private equity backed management company.
Looking ahead
The ever changing regulatory landscape for healthcare and life sciences companies is leading to even further consolidation. I am monitoring these changes and constantly looking at creative and effective ways to address clients’ needs and business goals.
