Introduction
Andrew Share has extensive technology transactions experience, counseling companies with respect to a wide range of intellectual property and technology–related matters, including software, content and data licensing, SaaS, software development and implementation, reseller arrangements, business process outsourcing, data privacy, and IT security concerns.
My focus
Mergers & Acquisitions
I have represented a wide range of companies—from startups to publicly traded and Fortune globally ranked companies—through a variety of mergers, acquisitions, sales, and restructurings. Navigating the M&A process for any company, big or small, can be a drain on a client’s time and resources. My approach has been to manage all aspects of the process (up to a client’s comfort level), freeing the client to attend to its other matters such as the day-to-day operations of its own business.
IP & Technology Transactions
I regularly counsel companies and individuals in the commercialization and leveraging of their intellectual property rights and am experienced in drafting and negotiating research and development agreements, licensing agreements (from both the licensors’ and licensees’ perspective), co-development and other agreements involving the creation, acquisition, licensing, or sale of intellectual property rights. I have considerable experience in software- and technology- based transactions not only for the procurement and licensing of cloud-based services and other software offerings, but also with the privacy, data security, and associated issues that impact those products and how they are integrated into a user’s business.
Strategic Sourcing & Supply Chain
I regularly counsel clients (from start-ups to Fortune 500 companies) on their supply chain and purchasing operations across industries, including manufacturing, health care, food and beverage, and financial services. This counseling goes beyond simply supporting supply chain projects, to include the establishment of corporate policies, development of form agreements and documentation, and training of both legal and non-legal roles.
Representative experience
- Andrew’s practice also covers other aspects of corporate and commercial law, including M&A, corporate formations, strategic alliances and joint ventures, distribution and commercialization arrangements, contract manufacturing, supply chain and procurement, and general business counseling.
- Prior to Nixon Peabody, Andrew was in-house counsel to Tyco International for a number of years, counseling Tyco’s corporate, plastics and adhesives, and flow control business units, as well as serving as Tyco’s lead counsel for its global IT and strategic procurement groups.
Looking ahead
Technology touches almost every aspect of business and the value of that technology and the data that it creates, as well as the importance of protecting it, are of paramount concern on either side of a transaction. Now, with the continuing evolution of blockchain, people have the ability to greatly disrupt (for the better) the manner in which to maximize their rights while, at the same time, creating a more efficient way to transact business directly with their customers and end users. We continue to help clients develop and cultivate ways to maximize their use and reliance on technology (whether their own or licensed from a third-party) but also to minimize the associated risks and pitfalls. As technology is forever evolving, so are the ways we help our clients adapt.
