/My focus

My practice focuses on the following areas.

Corporate Finance

I advise companies on privately placing securities with accredited investors. I also provide advice and counsel to companies in connection with commercial lending transactions secured by a variety of corporate assets. I have also assisted with debt restructuring initiatives.

Commercial Transactions and Corporate Counsel

I assist companies of all sizes with the negotiation and preparation of contracts and agreements covering supplier issues, service agreements, employment agreements, contracts for the acquisition and divesture of capital assets and other matters. I also assist companies in various stages of their lifecycle with general corporate issues—including entity selection and formation, board and shareholder issues, shareholder and operating agreements— and other issues presenting to an emerging enterprise.

/Looking ahead

The shifting global political climate will continue to disrupt business as usual by creating both new opportunities and new challenges for companies and investors. Given new opportunities for capital dispatch, my role as legal counsel is critical to ensure that downside risk factors, including the potential for enhanced oversight, can be anticipated and mitigated. Especially when the COVID-19 is over, global trade will usher in a new upsurge of development.
