My practice focuses on commercial transactions, including mergers and acquisitions, capital market transactions, and general corporate matters. I also advise clients in navigating the developing regulatory environment of crypto-currencies and blockchains in the region.

M&A and Corporate Transactions

I have experience in various commercial and corporate transactions, with an emphasis on M&A and commercial matters. I advise on commercial matters such as sale and purchase agreements, shareholders’ agreements and loan documents. I have been involved in cross-border commercial transactions.

Technology Transactions

I work with digital startups and emerging growth companies. With the uptick of digital start-ups in this region and the increased demand to implement blockchain technology as their platform and digital assets as their tool for providing goods and services, I help guide clients through this developing area where regulatory and compliance issues are in constant transformation. I also help these companies with issues such as founders and shareholders relationships, employment matters, fundraising and contracting needs.

Investment Funds

I have experience in advising mid-market private fund groups on setting up offshore private hedge funds. I have also advised clients on fund licensing and regulatory issues in Hong Kong.

/Looking ahead

With the rise in integration of blockchain technology in financial products and services, these developments will lead to complex legal, regulatory and compliance issues, involving areas such as ownership and right of use of intangible assets, data privacy and cybersecurity. There will be a need for legal advisers not only to understand and keep up to date with this rapidly evolving space, but to bridge their knowledge on the current financial service regulations with new financial technology to best serve their clients.
