Introduction
Shaziah Singh works extensively in the M&A space, representing both public and private strategic buyers as well as sellers of privately held businesses. In the Private Equity and Family Office space, she advises investors, funds, and family offices in connection with direct/portfolio investments, portfolio companies, and exit transactions. Shaziah has particular experience in manufacturing, security services, behavioral health and food and beverage industries.
My focus
Mergers and Acquisitions
Throughout my career, I have advised a wide range of M&A clients, both strategic and financial, in acquisitions and divestitures that they are considering, with purchase prices ranging from very modest valuations to billions of dollars. In a recent transaction, I helped our public-company client carve-out and sell a business line to a private equity-backed acquirer for $900 million.
I represent clients in a variety of industries, with a particular emphasis on the food and beverage, behavioral health, manufacturing, medical devices, and security services verticals. In each transaction, I manage my NP team from the beginning of the deal to the closing, while always focusing on my clients’ business objectives.
Private Equity and Family Office
I represent private equity investors and family office clients in a variety of transactions, including managing corporate matters and exit and investment transactions. I also advise investors on the emerging opportunities created by name, image, and likeness (NIL) funding.
General Corporate Work
On an ongoing basis, I serve as outside general counsel for early- to late-stage companies, which includes assisting with corporate formation and governance items, executive and incentive compensation, commercial agreements, and other ongoing general corporate matters.
Representative experience
- Represented SAES Getters S.p.A. on the sale of its Nitinol business and, in particular, of the U.S. subsidiaries Memry Corporation and SAES Smart Materials, Inc., to Resonetics, LLC.
- Represented a New York limited partnership focused on reproductive endocrinology, fertility, and urology in the sale of 100% of the equity in the company.
- Represented Granite Recovery Centers, a New Hampshire-based operator of residential treatment facilities and sober homes, in its sale to BayMark Health Services, an addiction treatment business.
- Represented our client, Creo Capital Partners, in its acquisition of La Tortilla Factory Inc., a California corporation.
- Represented a Boston real estate investment firm in closing a transaction in which a Tokyo, Japan-based international financial services company acquired 100% of the partnership interests from one of the seller’s affiliate companies.
- Represented a productivity and risk management software company for multi-family asset managers who entered into an agreement in which all of their intellectual property for a certain part of the platform was purchased by a product engineering and software development company.
- Represented American Laboratory Products Company, Ltd., a specialty in vitro diagnostics company, with its sale through an LBO, as part of a majority recapitalization of the company by Ampersand Capital Partners, a middle market private equity firm dedicated to growth-oriented investments in the healthcare sector.
- Represented a wholesale food company with an internal corporate reorganization where certain operating assets of our client’s business were transferred and contributed to a new legal entity and an entity that is under common control with our client.
- Represented a fund in a secondary GP-led restructuring transaction for up to 100% of the limited partnership interests of a private equity firm.
- Represented our client in connection with the purchase of 70% of a New Jersey-based LLC distributer of Italian foods and Italy’s largest producer of cooked and sliced hams and Italian meats.
Looking ahead
I expect to see an increase in transformational mergers and acquisitions. As the economy continues to diversify, thanks to the influence of technology, more companies are looking to expand their reach. Transformational mergers and acquisitions have the potential to reshape industry landscapes, disrupt conventional business practices, and open up access to new markets previously inaccessible to a company.
