I focus my practice on corporate and finance matters, often acting as outside counsel to my clients for commercial agreements, corporate matters, and mergers and acquisitions.
I frequently counsel clients in the negotiation and management of business acquisitions, mergers, and sales. I represent both sellers and buyers in these transactions and work to help my clients balance risk between parties to these agreements. I represent clients in a variety of industries, with experience in the beverage alcohol, health care, and security services verticals, among others. In each transaction, my focus is on helping my clients accomplish their goals in a reasonable and efficient manner.
As outside general counsel, I assist companies with all aspects of establishing their businesses, including entity formation matters and preparing governing documents such as operating, shareholders’, buy-sell and co-sale agreements. Beyond that, I advise clients in daily legal issues, such as responding to or preparing vendor agreements, noncompetition and/or confidentiality agreements, and similar contracts. I help my clients address commercial issues using practical legal solutions and assist them in protecting their interests while still building their relationships with their vendors, suppliers, customers, and other key stakeholders.
I draw on my corporate practice to guide privately held and family-owned businesses through all stages of their business, including succession planning, leadership transitions and retaining key personnel. I aim to simplify the transition process for my clients while balancing the many complex factors contained therein, helping them define their goals and develop plans to achieve those goals in a way that benefits all parties.
I facilitate private securities placements for my clients, including drafting private placement memoranda and related documents (shareholders’ agreements, investors’ rights agreements, limited liability company agreements, and similar agreements), as well as preparing and filing necessary documentation with applicable federal and state regulatory authorities.
Recent years have shown that all industries are experiencing an acceleration of change. Disruptive events and fast advances in technology interact with each other and require quick adaptation. As outside legal counsel, we need to be ready for these challenges and to use new technology in a way to ensure efficient and positive outcomes for our clients. Beyond that, we must understand how these changes create challenges and opportunities for our clients. Some changes may result in opportunities to streamline managing their businesses and reducing costs, such as learning how to use AI and other new technologies. In other instances, the explosion and subsequent consolidation of new technology companies may provide our clients with a clear path to strategic growth. Regardless, we must be ready to understand the business conditions our clients are navigating to provide them with the best service.
