Nixon Peabody is recognized for our knowledge of healthcare transactional law, particularly in the areas of mergers, acquisitions, joint ventures, affiliations, and other similar healthcare transactions.
As healthcare transaction attorneys, our team possesses the experience to guide clients to overcome regulatory hurdles in the healthcare industry. We navigate complex issues including corporate practice of medicine prohibitions, Medicare and Medicaid issues, HIPAA, Stark Laws, and anti-kickback compliance. We also serve as general and special counsel to private equity firms and other investors, guiding them through their initial acquisition of portfolio companies, add-ons, and exit transactions, along with experience in sell side private equity transactions. - Regional hospital in Chicago: Advised on its agreement to join a large Illinois integrated healthcare delivery system
- Nonprofit acute care hospital in New York: Advised on its affiliation with a nonprofit regional hospital. Our work included the preparation of an affiliation agreement and discussions with the New York State Department of Health on the affiliation, as well as a novel joint venture structure for a planned infusion center operated by the hospitals
- Community hospital in its affiliation with a larger health system: We provide counsel to the hospital and its C-suite employees on a wide range of matters, including general counsel work, physician contracting, joint ventures, vendor/service contracts, and compliance-related matters
- Locally governed, nonprofit hospital, a medical foundation, urgent care centers, and an affiliated Independent Practice Association (IPA): Advised on its affiliation with a major health system. We also serve as their outside general counsel, along with representation of their affiliated Accountable Care Organization (ACO)
- Private, not-for-profit healthcare network based in California: Represented the network, which operates four hospitals, a cancer institute, and several long-term care and outpatient facilities, in various healthcare transactions
- Private equity firm: Serve as healthcare regulatory counsel in multiple transactions, including the sale of its portfolio company and the purchase of a multi-state DSO, and continuing representation of the DSO on add-on acquisitions, as well as its acquisition of a provider of administrative support services to bariatric surgery offices
- New York-based nonprofit dialysis provider: Counseled on various mergers, acquisitions, and joint ventures to further its presence throughout the State
- West Coast based cardiology practice: Advised on its recapitalization and formation of a management company with a private equity firm
- Dermatology focused pharmacy provider: Served as healthcare regulatory counsel in connection with its private equity recapitalization
- Healthcare management consulting firm: Served as corporate and healthcare regulatory counsel in its purchase of substantially all of the assets of a supplier of medical billing services to healthcare providers in New York, New Jersey, Connecticut, and Texas
