/Overview
Nixon Peabody’s nationally recognized project finance attorneys advise on some of the largest and most complex transactions in the United States and worldwide. We work with public- and private-sector clients to assess risks among project participants, help owners achieve their goals, and meet the varied needs of the communities they serve.
Drawing on our diverse pool of talent and resources in environmental, real estate, investment and tax law, including dedicated Section 103 lawyers, we craft comprehensive strategies to address the challenges that arise in a demanding legal environment.
/Representative Experience
- Central I-70 Reconstruction Served as underwriter’s counsel in connection with a project revitalizing ten miles of Central Interstate 70, which carries 200,000 vehicles per day through the Denver area. The project had an unusually complicated funding structure, with debt repayment coming from federal, state, and local sources.
- New Terminals at LaGuardia Airport Served as issuer’s counsel to the Empire State Development Corporation in connection with the Port Authority of New York and New Jersey-sponsored project to replace two terminals at LaGuardia.
- Puerto Rico Aqueduct and Sewer Authority (PRASA) Served as bond counsel in connection with each of PRASA’s bond financings since 2007.
- Transbay Joint Powers Authority Served as financing counsel in connection with a multi-billion-dollar mixed-use development to replace the former bus depot with a modern transit hub serving Bay Area commuters. Portions of the project will be financed with developer contributions and related real estate-based taxes.
- Virginia Small Business Financing Authority Served as bond counsel and issuer’s counsel in private activity bonds issuance in connection with the Transform I-66 P3 Project. This revenue risk project was financed by tax-exempt senior bonds, a Transportation Infrastructure Finance and Innovation Act (TIFIA) loan, and equity. As bond counsel, we were actively involved with the indenture documents, security documents, loan agreement, direct agreement, and collateral agency agreements.
