Rachel Pugliese focuses her practice on mergers and acquisitions, private equity transactions, and general corporate work. She has represented both public and private buyers and sellers in a variety of transactions, specifically focusing on the middle-market.
Today, I concentrate my practice on the following areas:
Throughout my career, I have advised a wide-range of M&A clients, both strategic and financial, with respect to acquisitions and divestitures that they are considering with purchase prices ranging from very modest valuations to billions of dollars. For example in a recent divestiture, I helped our private company client to sell its consumer product business to a private equity buyer for approximately $200 million and, throughout the sale process, I knowledgeably managed my NP team from the beginning of the deal to the closing, while always focusing on my clients’ business goals.
I represent private equity investors and family office clients in a variety of transactions, including managing corporate matters and exit and investment transactions.
On an ongoing basis, I serve as outside general counsel for early to late stage companies, which includes assisting with corporate formation and governance items, executive and incentive compensation, commercial agreements, and other ongoing general corporate matters.
We saw extremely high deal volume in 2021 and 2022. M&A deal activity has since tapered off due to higher interest rates and other economic factors. Given this, I expect deal flow activity to pick up in the second half of 2024. Nixon Peabody is also making an effort to bring even more deals together with our NP Capital Connector program, which is a proprietary referral service program that matches companies looking for debt or equity funding or companies looking to make a sale or purchase with a respective potential transaction partner. We love connecting people and seeing deals come together!
