I help companies raise the capital they need to grow, acquire the businesses and technologies they need to expand, and streamline the systems they need to scale. Having served as a senior-level business executive and in-house general counsel, I’ve learned the importance of taking a first-principles approach to problem solving. When advising clients, I consider their tactical needs and develop practical plans to mitigate risk while driving business outcomes.

I advise clients across a wide range of matters, including complex equity transactions and private securities offerings. I additionally work with start-up companies on early-stage formation needs, and manage public and private mergers and acquisitions, as well as joint venture and divestiture transactions. 

I am skilled at drafting and negotiating various commercial contracts, such as license agreements, master service agreements, SaaS agreements, purchase agreements, and merchant agreements.

Clients are under immense pressure to quickly understand and respond to rapidly changing business conditions. At the same time, clients are under continued pressure to limit cost and make efficient use of their resources. I provide clients with pertinent information and efficient, strategic, guidance as they navigate an evolving business landscape.
