My focus
I partner with companies to help them achieve their goals through the acquisition and disposition of businesses, investment in new technologies, and thoughtful collaboration with third parties. Much of my work involves drafting and negotiating acquisition agreements and efficiently managing transaction processes.

Mergers and Acquisitions
- Represented Hexion Performance Netherlands B.V., an affiliate of Hexion, Inc., a leading global producer of adhesives and performance materials, in its acquisition of Smartech—The Industry Pivot Ltd., a global provider of smart manufacturing solutions.
- Represented MSRCOSMOS TECH GROUP LLC, in the acquisition of E Comm Quest, LLC.
- Represented Advanced IT Concepts, LLC, an information technology and training solutions systems integrator focused on providing services to the federal government and the Department of Defense, in its sale to FVLCRUM Fund, LP, an investment firm.
- Represented CURiO Brands, LLC, a designer and marketer of luxury branded fragranced products, in its acquisition of Verve Labs, Inc.
- Scientific instrument manufacturing transactions: Represent a major public scientific instruments manufacturing company in corporate transactions and investments, including leading the negotiation and execution of a recent $20 million private company acquisition.
- Represented Borealis Foods Inc., an innovative food technology company, in connection with its business combination agreement with Oxus Acquisition Corp. in which Borealis Foods Inc. was the surviving company and subsequently was listed on Nasdaq.
- Avedis Zildjian Company: Represent the designer and manufacturer of well-known musical instruments, including Zildjian-branded cymbals, in several transactions, including the recent acquisitions of the “Reflexx” brand.
- Enquizit: Represented Enquizit in the sale of all of the outstanding membership interests in the company to an affiliate of CDW.
Venture Capital
- Material Impact Fund: Represent an investment fund focused on deep tech companies powered by material science in the negotiation and closing of multiple early-stage investment transactions.
- Represented Scitara, a global provider of a cloud-based, industry-specific platform and solutions for the life sciences industry, in its Series B Preferred Stock offering.
- Companyon Ventures: Represent an investment fund focused on business-to-business software in the negotiation and closing of multiple early-round transactions, including as lead investor in the Series B round for Lexop Solutions, Inc.
- Battery Ventures: Represented Battery Ventures and FinTLV as lead investors in Next Insurance, the leading digital insurtech company.

- Represent several technology, life sciences, healthcare, and consumer goods companies in their organization, financing, and commercial contracting matters
Looking ahead
The use of representation and warranty insurance in transactions as a tool to shift risk from the parties to a third-party insurer will become even more widespread. Over the past few years this practice has made its way down market, and I expect this trend to continue for the foreseeable future.
