Introduction
Martha Anderson is a finance and corporate lawyer with over 25 years of experience representing financial institutions and businesses of all types in connection with leveraged and project finance transactions and mergers, acquisitions and dispositions. She also has extensive experience in professional sports matters involving NFL, MLB, NBA and NHL teams and their stadiums and arenas.
My focus
I help financial institutions and businesses of all types to get their deals done and achieve their strategic objectives. My practice includes the following:
LEVERAGED FINANCE
I represent banks, subordinated and other lenders and corporate borrowers in financings, including secured and unsecured, syndicated and single bank, working capital and asset-based transactions, leveraged financings, subordinated note purchases, acquisition financings, bridge financings and debt restructurings. I am also experienced in negotiating intercreditor agreements and subordination agreements.
PROJECT FINANCE
In addition to the stadium project financings referenced below, I have worked on project financings of solar projects, energy storage and biomass facilities, fertilizer and methanol plants and infrastructure. Most recently, I worked with our project finance team on the $1.8 billion financing of a fertilizer plant.
ENERGY
I have project finance experience in the renewable energy space as well as experience along the entire energy financing continuum, from enterprise-level revolving and term loans to back-leverage loans for portfolios of solar farms, project financings, and interconnection financing loans for everything from utility-scale solar farms to development-stage community solar projects, including not only solar but also battery storage (BESS) and some wind. I also work with our Tax Credit group in connection with the interplay between their transactions and the financing transactions involving the same projects.
MERGERS AND ACQUISITIONS
I represent buyers and sellers of businesses in leveraged and other acquisitions, recapitalizations, restructurings and dispositions, both domestically and internationally. That experience includes transactions involving companies involved in manufacturing, food, health care and medical devices.
SPORTS
I am experienced representing governmental and private entities in professional sports matters involving NFL, MLB, NBA and NHL teams and their stadiums and arenas. This experience includes work on the stadium financings for the Yankees, Mets, Giants, Jets, Twins and Nets; representation of the County of Erie in connection with the Buffalo Bills lease of Stadium and related Ralph Wilson stadium renovations; and work on a team bankruptcy and asset sale.
OTHER
I also advise clients on corporate, limited liability company and partnership matters and joint ventures. I have worked closely with our health care team on structuring, governance and finance matters involving our health care clients.
Looking ahead
I expect increased activity in infrastructure and health care and related areas. Also continuing high levels of activity in restructurings and extensions of existing loans.
